DATAUNIVERSA, INC. — TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of any website, application, platform, service, or system operated by DataUniversa, Inc. (“DataUniversa,” “we,” “us,” or “our”), including all associated features, tools, and interfaces (collectively, the “Platforms”).

By accessing or using the Platforms, you agree to be bound by these Terms. If you do not agree, you must not use the Platforms.

1. Eligibility

The Platforms are intended for individuals who are 18 years of age or older. By using the Platforms, you represent that you meet this requirement. Use by minors is prohibited.

2. Accounts and Access

Certain features may require account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

DataUniversa may suspend or terminate access at any time for violations of these Terms or for lawful business reasons.

3. User Submissions

3.1 Definition

“User Submissions” means any data, content, or material you submit or make available through the Platforms, including but not limited to:

Text, images, video, and audio
Files, measurements, and sensor data
Biometric, movement, or performance data
Metadata, timestamps, and device information
Annotations, labels, or derived inputs

4. Data License & AI / ML Use

4.1 License Grant

By submitting User Submissions, you grant DataUniversa a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, store, modify, analyze, distribute, and create derivative works from such data for any lawful purpose.

4.2 Artificial Intelligence and Machine Learning

Train, test, and improve AI and machine learning models
Combine User Submissions with other datasets
Create aggregated, synthetic, or derivative datasets
Use such models and datasets internally or commercially

4.3 Commercial Use

DataUniversa may commercially license or distribute anonymized or aggregated datasets derived from User Submissions.

4.4 Anonymization

User Submissions may be anonymized or de-identified. Once anonymized, such data cannot reasonably be linked to you and is not subject to deletion or revocation.

4.5 Survival

This license survives account deletion or termination with respect to anonymized or aggregated data.

5. Ownership

You retain ownership of your original User Submissions, subject to the license granted above. DataUniversa retains rights in aggregated data, anonymized data, derivative works, and trained models.

6. Acceptable Use

You agree not to submit content that:

Violates laws or regulations
Infringes intellectual property or privacy rights
Is fraudulent, harmful, or deceptive
Contains malware or malicious code

7. Privacy

Our data practices are described in the Privacy Policy, which is incorporated by reference. The Privacy Policy does not limit the license granted under these Terms.

8. Disclaimers

The Platforms are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind.

9. Limitation of Liability

To the maximum extent permitted by law, DataUniversa shall not be liable for indirect or consequential damages. Total liability shall not exceed the amount paid by you in the preceding 12 months, if any.

10. Indemnification

You agree to indemnify and hold harmless DataUniversa from claims arising from your use of the Platforms.

11. Governing Law

These Terms are governed by the laws of the United States. Venue shall lie in a court selected by DataUniversa.

12. Changes to Terms

DataUniversa may update these Terms at any time. Continued use constitutes acceptance of the updated Terms.
